02

finNFe = 6

finNFe = 5

Motivo obrigatório no campo tpNFCredito (códigos 01 a 06).

Cliente contribuinte (emite a devolução)

LC 214/2025, art. 47, § 12 (procedimentos a cargo do regulamento).

No IBS/CBS, a regra geral é o fato gerador no fornecimento (art.

Procedimento tradicional

ALTO
Nota rejeitada e mercadoria parada.

Debit and Credit Notes on the NF-e.

What they are, when to issue each type, the new NF-e purposes, and what changes for returns, refused deliveries and billing-only invoices with the arrival of IBS and CBS.

EC 132/2023 LC 214/2025 (am. LC 227/2026) Ajuste SINIEF 49/2025 Ajustes SINIEF 8, 15, 20, 27 and 34/2026 NT 2025.002 v1.51

5+6
new NF-e purposes

Credit Note (finNFe 5) and Debit Note (finNFe 6), each with a coded reason for the adjustment.

01

Why this matters for your company

Under Brazil's Consumption Tax Reform, IBS and CBS are calculated through an assisted assessment: the tax authorities build the taxpayer's assessment from the electronic tax documents it issues and receives. That changes the logic of adjustments. What used to be solved with a manual entry in the books now has to exist as a tax document, with a coded reason and a link to the original invoice.

For that purpose, the NF-e (model 55) gained two new purposes: 5 = Credit note and 6 = Debit note. With Ajuste SINIEF 49/2025, these notes also became valid for ICMS in specific situations, bringing into a single document what used to require two or three invoices.

Assisted assessment

If the adjustment is not on an NF-e, it does not appear in the assessment pre-filled by the tax authorities.

2026 is a test year, but with legal effect

CBS 0.9% and IBS 0.1%. The waiver of payment in 2026 depends on full compliance with ancillary obligations (art. 348, LC 214/2025).

Rejection already in force

Since 3 Aug 2026, companies under the standard regime (CRT 3) have their NF-e rejected when the IBS/CBS groups are not filled in (rule UB12-10).

If you are under Simples NacionalCompanies with CRT 1, 2 and 4 (Simples, sub-limit excess and MEI) are only required to fill in the IBS/CBS fields from 4 Jan 2027. The ICMS rules of Ajuste SINIEF 49/2025 apply to all ICMS taxpayers: they have been in effect since 3 Aug 2026 and become mandatory from 1 Jan 2027 (clause five-A, added by Ajuste SINIEF 27/2026).
02

What debit and credit notes are

They are always read from the issuer's point of view. The note does not describe a new sale or purchase: it documents an adjustment to the tax on a transaction that already exists, or an event that the law requires to be taxed or reversed.

finNFe = 6

Debit Note

▲Increases the tax owed by the issuer

Used when a later or independent event requires more tax to be charged: interest and penalties charged to the customer, advance payment, stock loss with reversal of credit, cancellation of credit due to an exempt sale, leaving Simples Nacional.

Reason required in the tpNFDebito field (codes 01 to 08 in the Technical Note, plus 09 provided for in Ajuste SINIEF 34/2026).

finNFe = 5

Credit Note

▼Reduces the tax owed by the issuer

Used when the tax on the original transaction needs to be reduced or recovered: goods refused on delivery, a reduction in value when the invoice can no longer be cancelled, presumed credit in the Manaus Free Trade Zone (ZFM), transfer of credit in a corporate succession.

Reason required in the tpNFCredito field (codes 01 to 06).

Golden ruleA debit or credit note does not replace the invoice for the transaction. It corrects, supplements or documents an adjustment, always referencing the access key of the original NF-e when there is one. Nor is it a catch-all: Ajuste SINIEF 49/2025 forbids its use outside the cases expressly provided for.
03

NF-e purposes after the Reform

The finNFe field tells the tax authorities what the invoice is for. Purposes 1 to 4 still exist; purposes 5 and 6 are new.

finNFePurposeWhen to useEffect on the issuer's IBS/CBS
1Regular NF-eSale, shipment, transfer: the transaction itself.Tax charged on the transaction (or none, depending on CST/cClassTrib).
2Supplementary NF-eSupplement to the price, quantity or tax of the original invoice.Additional charge linked to the original invoice.

Return due to partial refusal on delivery AJUSTE SINIEF 34/2026

Issued by the recipient that is an ICMS taxpayer and refused part of the goods, as an outbound NF-e. Note: the code is in Ajuste SINIEF 49/2025 (as amended by Ajuste SINIEF 34/2026, in effect since 14 Sep 2026), but it is not yet in NT 2025.002 v1.51, which lists types 01 to 08. Before issuing, confirm that the layout and your ERP already accept the code. See chapter 08.

Filling-in rules that cause the most rejections

Reference to the original invoice

The link is made through the access key in the refNFe group. The referenced key must exist and cannot be cancelled (rule 3BA02-70).

Reference by item

In a partial refusal with a credit note (tpNFCredito 06) and in returns, besides the key you must give the item of the original invoice in the DFeReferenciado group (key + nItem).

Type consistent with the purpose

Filling in tpNFDebito without finNFe = 6 triggers rejection 1139; tpNFCredito without finNFe = 5, rejection 1163; purpose 5 without a type, rejection 1164.

Compatible cClassTrib

Each type of note accepts only certain cClassTrib codes (rules UB14-60, UB14-70 and UB14-80). A badly configured ERP is the main cause of rejection.

ICMS and IBS/CBS on the same note

In the cases of Ajuste SINIEF 49/2025, the same debit or credit note may carry the current taxes (ICMS, IPI) and the new ones (rule B25-80). In 2026, the advance payment note also accepts PIS/COFINS and IPI (NT v1.51).

Supporting events

Some adjustments depend on an event on the NF-e, not on a note: 112140 supply not carried out with advance payment, 112130 and 211124 loss in transit, 211128 acceptance of the charge.

Chapter 08 · Trade and Industry

Returns, refusals and billing-only invoices

Three routine transactions that the Tax Reform and Ajuste SINIEF 49/2025 reorganized. The first question is always the same: were the goods actually delivered to the customer?

Decision map

8.1 · Return of goods

A return assumes that the goods were delivered and the supply was completed. That is why it is still done with an NF-e of purpose 4, and not with a credit note. What changes is the IBS/CBS treatment and the level of detail required.

Taxpayer customer (issues the return)

The customer issues an outbound NF-e, finNFe 4, showing IBS/CBS in proportion to the items returned. In its assessment, this means recording a charge or reversing the credit taken; for the supplier, taking a credit or reversing the original charge.

LC 214/2025, art. 47, § 12 (procedures to be set by regulation).

Non-taxpayer customer (individual, or outside the standard regime)

The supplier issues an inbound return NF-e. If it is under the standard regime, it may take a credit or reverse the charge based on the IBS/CBS amounts of the returned transaction.

LC 214/2025, art. 47, § 8.

New from 5 Oct 2026Rule VC02-14 of NT 2025.002 requires in production, from 5 Oct 2026, that return NF-e reference the original invoice by item (DFeReferenciado group, key + item number). Return invoices referenced only by the invoice key are now rejected.

8.2 · Refusal on receipt and recipient not found

When the customer refuses the goods at the moment of delivery, or cannot be found, the supply is not completed. It is not a return. The procedure was standardized nationally by Ajuste SINIEF 49/2025, in effect since 3 Aug 2026 (Ajuste SINIEF 15/2026) and mandatory from 1 Jan 2027 (Ajuste SINIEF 27/2026). The current rule on refusals is that of Ajuste SINIEF 34/2026, in force since 14 Sep 2026.

The key point is knowing who refused and how much: in a total refusal, the seller always regularizes it; in a partial refusal, it depends on whether or not the customer is an ICMS taxpayer.

Total refusal or recipient not found

  • natOp: "Retorno por Recusa ou não localização"
  • Undelivered items of the original NF-e, with its key in refNFe
  • Details of the original recipient in the dest group
  • ICMS shown, when applicable

Partial refusal by a taxpayer customer

  • natOp: "Retorno por Recusa Parcial"
  • Only the undelivered items, with the key of the original invoice in refNFe
  • ICMS shown, when applicable
  • For the seller, it is an inbound invoice to be recorded, as in a return
A rule that changed three times in 2026The original wording of Ajuste 49/2025 already provided for debit note 09 issued by the taxpayer customer. Ajuste SINIEF 8/2026 moved every partial refusal to the seller (credit note 06), from 4 May to 13 Sep 2026. Ajuste SINIEF 34/2026 restored the split: credit note 06 by the seller for a non-taxpayer customer and debit note 09 by the customer itself when it is a taxpayer. Materials and rulings dated before 14 Sep 2026 may be out of date.
Technical mismatchCode tpNFDebito 09 is in the Ajuste, but NT 2025.002 v1.51 still lists only types 01 to 08, and the note may be rejected until a new version is published. As compliance only becomes mandatory from 1 Jan 2027, agree with CGC's Tax Department on the procedure to use until the layout is updated.

Recipient

In a total refusal or when not found, registers on the original NF-e the event Operação não Realizada (transaction not carried out) or Desconhecimento da Operação (transaction not recognized).

Carrier

In a total refusal or when the recipient is not found, registers the event Insucesso na Entrega (failed delivery) on the NF-e or the CT-e.

Seller

Issues credit note 03 or 06, or records the customer's debit note 09, and keeps proof of the refusal (delivery slip, events, communication with the customer).

8.3 · Billing-only invoices and sales for future delivery

In the traditional ICMS model, a sale for future delivery generates a billing-only invoice ("simples faturamento", CFOP 5.922/6.922, with no ICMS shown) and, later, the shipment invoice (CFOP 5.116/6.116 or 5.117/6.117), with ICMS.

For IBS/CBS, the general rule is that the taxable event occurs on supply (art. 10 of LC 214/2025). But if there is payment before supply, the tax is brought forward on each amount received (art. 10, § 4). That is where debit note 06 comes in.

WITH advance payment

The billing-only invoice becomes the debit note

  • finNFe 6, tpNFDebito 06
  • natOp: "Venda para entrega futura - Pagamento antecipado"
  • CFOP 5.922 or 6.922, with no ICMS shown
  • IBS/CBS on the amount of each instalment paid, at the rates in force on the payment date

It is not an extra document: it is the billing invoice itself with a debit purpose (SEFAZ/SP and SEFAZ/CE).

WITHOUT advance payment

Traditional procedure

  • Ajuste SINIEF 49/2025 does not apply
  • Follow ICMS legislation for the billing-only invoice
  • IBS/CBS only on the invoice for the actual delivery (supply)
  • Note: if payment is made later, but before delivery, the advance charge becomes due

Cash-flow riskWith advance payment, IBS/CBS becomes due on receipt, not on delivery. Contracts with down payments, customer advances and made-to-order industrial jobs need to be mapped jointly by finance and billing, because the charge arises from a financial event.

8.4 · Two adjustments that complete the picture

DN 07 · Stock loss

Spoilage, deterioration, misplacement, theft or robbery. Outbound NF-e in which the recipient is the issuer itself, CFOP 5.927, natOp "Baixa de Estoque", justification in infAdFisco, ICMS shown when applicable (as amended by Ajuste SINIEF 20/2026) and reversal of the ICMS credit according to state legislation. For IBS/CBS, the credit taken must be reversed (LC 214/2025, art. 47, § 6).

CN 04 · Reduction of amounts

Error in value or quantity with no movement of goods, when the invoice can no longer be cancelled. Inbound NF-e by the sender, with the CFOP that mirrors the original invoice (failing that, 1.949/2.949), justification in infAdFisco, details of the original recipient and reference to the original invoice, carrying only the difference to be deducted.

Risks and checklist

HIGH
Losing the 2026 payment waiver. The IBS/CBS waiver in the test year is conditional on compliance with ancillary obligations, including correct notes and events.
HIGH
Invoice rejected and goods held up. Note type without a compatible cClassTrib, return without a reference by item, or a referenced key that was cancelled.
HIGH
ICMS or IBS/CBS credit disallowed. Refusal treated as a return (or the other way round), or a credit note without the supporting events from the recipient and the carrier.
MEDIUM
Debit note 09 not supported in the layout. The code provided for in Ajuste 34/2026 is not yet in NT v1.51; the ERP and the state tax office may not accept it until a new version.
MEDIUM
Advance charge forgotten. Down payments and advances received without debit note 06, creating a difference in the assisted assessment.
MEDIUM
Use outside the permitted cases. Ajuste SINIEF 49/2025 forbids the use of debit and credit notes affecting ICMS outside the cases provided for. In Minas Gerais, also observe RICMS/2023 (Decree 48.589/2023).

Checklist for your team

  • Confirm with your ERP vendor that finNFe 5 and 6, tpNFDebito 01 to 09 and tpNFCredito 01 to 06 are available and configured.
  • Adjust how returns are issued so that each item of the original invoice is referenced.
  • Review the refusal workflow: in a total refusal, or a partial one by a non-taxpayer customer, the return document is issued by your billing team (codes 03 or 06); in a partial refusal by a taxpayer customer, the customer issues it (code 09). When your company is the buyer doing the refusing, debit note 09 is yours to issue.
  • Map contracts with a down payment, advance or future delivery and define who notifies billing at each receipt.
  • Train dispatch staff and carriers to register failed-delivery events.
  • Define the policy for charging interest and penalties: who issues debit note 04 and when.
  • Send unusual cases to CGC's Tax Department before issuing. A wrong invoice costs more than a consultation.
